1. Parties and Scope
1.1 These Preorder Terms of Sale (these “Terms”) form a binding agreement between Regimen, Inc., a Delaware corporation (“Regimen,” “we,” “us” or “our”), and the person placing an order (“you” or “your”), governing the preorder purchase of Pill Partner, the Regimen smart pill organizer (the “Organizer”).
1.2 By placing a preorder you agree to these Terms, the Returns and Refunds Policy, the Limited Warranty and the Privacy Policy, each of which forms part of this agreement.
1.3 Your use of trustregimen.com is governed by the Website Terms of Use. Your use of the Regimen application (the “Application”) is governed by the App Terms of Use, which you must accept when you create an account.
1.4 Where these Terms conflict with another document regarding your purchase, these Terms control, except that nothing here limits a right granted to you by the Returns and Refunds Policy or the Limited Warranty.
2. What You Are Buying
2.1 You are buying one Organizer: a weekly AM/PM pill organizer that records the opening of each compartment and makes that activity available in the Application.
2.2 Each shipment includes one Organizer and one USB-C cable.
2.3 Your purchase includes a thirty (30) day free trial of connected Organizer services, beginning on Activation and converting to a paid monthly subscription unless cancelled. Section 10 governs the trial and subscription.
2.4 You are not buying medication, any medical device, any medical service, any monitoring or caregiving service, or any assurance that a notification will be delivered at any time. Section 9 sets out what the Organizer does and does not do, and is a material term of this agreement.
3. Preorder Status and Shipping Date
3.1 THIS IS A PREORDER. THE ORGANIZER IS NOT AVAILABLE FOR IMMEDIATE DELIVERY AND WILL NOT SHIP AT THE TIME OF ORDER.
3.2 We expect to ship preorders in January 2027. The latest expected shipment date for this launch batch is Jan 31, 2027 (the “Promised Shipping Date”). This is a shipment date, not a guaranteed delivery date. Your order confirmation will state this date. Section 4 governs any delay.
3.3 The estimated shipping window does not limit your cancellation or refund rights. Section 4 governs what happens if we cannot meet your Promised Shipping Date.
4. If Shipment Is Delayed
4.1 If we cannot ship by your Promised Shipping Date, we will email you before that date passes, explain the delay, give a revised date where we have one, and offer you the choice to accept the delay or cancel for a full refund.
4.2 For a first delay with a definite revised shipment date no more than thirty (30) days after the original Promised Shipping Date, our notice will explain that, if you do not reply, we will treat your silence as agreement to that delay. You may still cancel at any time before shipment.
4.3 For a first delay of more than thirty (30) days, or where we cannot give a definite revised shipment date, our notice will explain how to agree to keep your order open and state the response deadline. If we have not shipped and do not receive your agreement by that deadline, we will cancel and refund your order in full. That cancellation deadline will be no later than thirty (30) days after the original Promised Shipping Date.
4.4 If we need a further delay beyond a revised shipment date, we will notify you before that date and ask for your agreement again. Silence is not consent to a further delay. If we have not shipped and do not receive your agreement by the current revised shipment date, we will cancel and refund your order in full.
4.5 You may cancel at any time before shipment, for any reason, and receive a full refund. We do not ask you to waive any rights under applicable law, and nothing in these Terms limits those rights.
5. Price, Shipping and Tax
5.1 The price of the Organizer is One Hundred Nineteen Dollars and Ninety-Nine Cents ($119.99 USD).
5.2 Standard shipping is charged separately at Ten Dollars and Ninety-Five Cents ($10.95 USD) per order.
5.3 Applicable sales tax is calculated at checkout and added to your total. The Organizer and shipping prices do not include tax.
5.4 Your full total, including the Organizer, shipping and tax, is shown before you submit your order. We will not charge you any amount that was not shown to you.
6. Payment
6.1 When you place your preorder, we charge your payment card for the Organizer, the separately stated standard-shipping charge, and applicable tax. Payment is collected at preorder, not at shipment.
6.2 If your order is cancelled before shipment, we refund the full amount paid for that order, including the Organizer, original shipping charge, and applicable tax, to your original payment method. We issue that refund within seven (7) working days after cancellation, or sooner where required by applicable law.
6.3 By placing a preorder you authorize us and our payment processor to charge your payment method for the total shown at checkout, and you confirm you are authorized to use that payment method.
6.4 Separately, and only if you give the consent described in Section 10, you authorize us to charge your payment method for the monthly subscription.
6.5 Stripe processes payments and saves your payment method for the future subscription disclosed in Section 10. Regimen does not store complete payment card numbers.
6.6 If payment cannot be completed at checkout, your preorder is not paid or confirmed. You may need to update your payment method to complete the purchase.
7. Order Acceptance
7.1 Your order is accepted and a purchase contract is formed when we successfully process your completed order and confirm payment. We will send you an order confirmation by email. Sending or receiving that email is not a condition of order acceptance.
7.2 Launch preorders are limited to seventy-five (75) Organizers and one Organizer per connected household. We may decline orders for a lawful reason, including suspected fraud, resale, or inability to supply.
7.3 If an Organizer is listed at an incorrect price due to an error, we may cancel the order and refund you in full even after sending a confirmation. We will tell you before doing so, and you will not be charged the incorrect price.
8. Eligibility, Shipment and Risk of Loss
8.1 You must be at least eighteen (18) years old and able to enter a binding contract.
8.2 We ship only to eligible addresses in the United States. Any address restrictions are shown before you place your order.
8.3 You are responsible for giving us a complete and accurate address, and we are not liable for delivery to an incorrect address you supplied.
8.4 Title and risk of loss pass to you on delivery, not when we hand the package to the carrier. If your Organizer is lost or damaged in transit, tell us and we will replace it or refund you.
8.5 After delivery, the Returns and Refunds Policy applies. You have sixty (60) days from delivery to return the Organizer.
9. What the Organizer Does and Does Not Do
PLEASE READ THIS SECTION.
9.1 The Organizer records when a compartment is opened. It does not detect, measure, verify or confirm that medication was placed in a compartment, removed, taken, swallowed or ingested by anyone. A recorded opening does not mean a dose was taken. The absence of a recorded opening does not mean a dose was missed. Information entered manually in the Application is user-reported and is not verified by the Organizer.
9.2 Neither the Organizer nor the Application is a medical product. Neither diagnoses, treats, cures, mitigates or prevents any disease or condition. Neither prescribes, dispenses or administers medication. Neither gives medical advice, and neither replaces a physician, pharmacist, nurse or other qualified healthcare professional.
9.3 Do not only rely on the Organizer or the Application for anything time-critical or safety-critical. Where a medication routine matters to someone’s health, people must manage that routine, with the Organizer and Application serving as supplementary information only. Do not change, skip, delay or add a dose based on what the Application shows. Consult a qualified healthcare professional about medication decisions.
9.4 Notifications are not guaranteed. Recording and delivery depend on power, wireless connectivity, your phone, your network, your operating system and notification settings, and third-party services we do not control. Activity may be delayed, incomplete or absent. We make no promise that any notification will be generated, delivered or received at any particular time or at all, and we do not provide medical monitoring of your account.
9.5 IN AN EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER. The Organizer and Application are not an emergency response, alert or medical monitoring service.
10. Free Trial and Monthly Subscription
PLEASE READ THIS SECTION. IT DESCRIBES A RECURRING CHARGE.
10.1 Definitions. “Activation” means an authorized participant’s explicit confirmation to start using the securely connected Organizer within the Application. Creating an account, setting up medications, delivery, or pairing the Organizer does not start the trial. Without Activation, no subscription or monthly charge begins.
10.2 The free trial. Your purchase includes a thirty (30) day free trial of connected Organizer services, beginning on Activation. The sixty (60) day return window begins at delivery; delaying Activation does not extend it.
10.3 Automatic conversion to a paid subscription. AFTER ACTIVATION, AT THE END OF THE THIRTY (30) DAY FREE TRIAL, WE WILL CHARGE YOUR SAVED PAYMENT METHOD FOURTEEN DOLLARS AND NINETY-NINE CENTS ($14.99 USD) PER MONTH PLUS APPLICABLE TAX, UNLESS YOU CANCEL BEFORE THE TRIAL ENDS. THE SUBSCRIPTION RENEWS MONTHLY UNTIL YOU CANCEL.
10.4 Your consent. We will not charge you unless you have agreed to these subscription terms by a separate affirmative action at checkout, taken after we show you the price, that it recurs monthly, when the first charge occurs, and how to cancel. Buying an Organizer alone does not authorize any recurring charge.
10.5 Confirmation. After you order, we will email you an order confirmation showing the Organizer price, shipping charge, applicable tax, total paid, shipping address and Promised Shipping Date. It will also restate the subscription price, monthly billing cycle, how Activation starts the thirty (30) day free trial, and how to cancel. When Activation occurs, we will email you the actual trial-end date and first scheduled charge date. You may keep these emails for your records.
10.6 Reminder before the first charge. We will email you seven (7) days before your thirty (30) day free trial ends, showing the first scheduled charge date, subscription price and how to cancel. We will also provide any additional notices required by applicable law.
10.7 Cancelling. The purchaser may cancel through Stripe’s billing-management portal, accessible from the purchaser’s Regimen account and the Application. No telephone call or conversation is required. Cancellation during the trial stops the first charge, and connected-service access continues through the trial’s end. Cancellation after a paid month begins stops future renewal, and connected-service access continues through the current paid period. An invited participant has product access but cannot manage the purchaser’s billing.
10.8 Price changes. We will give you notice in a form you can keep at least thirty (30) days before increasing your subscription price. The notice will state the new price, when it takes effect and how to cancel before it applies. An increase applies only to future billing periods, not a period you have already paid for. We will provide any additional notices and obtain any consent required by applicable law.
10.9 Refunds of subscription charges. Monthly subscription charges are billed in advance for a full billing month. Cancellation or a hardware return does not refund that month, in whole or in part. Renewal stops; connected-service access continues through the paid period. Hardware refunds exclude subscription charges. Exceptions remain for legally required refunds, billing errors, duplicate charges and Regimen-caused service failures, including the Limited Warranty’s covered-defect downtime credit.
10.10 The Organizer works as a physical pill organizer without a subscription. When the trial or paid period ends, or a renewal payment fails, connected Organizer services stop. Your account, medication data, relationships, and device associations are not automatically deleted. Successful payment recovery restores connected-service access without requiring you to pair the Organizer again.
11. FCC Notice
11.1 The Organizer is subject to the rules of the Federal Communications Commission. Delivery to you is conditional upon successful completion of the applicable equipment authorization process, and we will not deliver before that process is complete.
11.2 FCC rules do not address the applicability of consumer protection, contractual or other provisions under federal or state law. Your rights under these Terms and under applicable law are unaffected by this notice.
11.3 If equipment authorization is not complete in time to meet your Promised Shipping Date, we will notify you before that date, explain the delay, provide a revised shipping date if available, and offer you the choice to keep your order open or cancel for a full refund. Section 4 governs consent to the delay and any required cancellation or refund. Missing an authorization target does not by itself cancel an order where you validly consent to the delay. We will not ship before the required authorization is complete.
12. Warranty and Disclaimers
12.1 Your Organizer is covered by the Regimen Limited Warranty, which is available on our website before you buy and forms part of this agreement.
12.2 EXCEPT FOR THE LIMITED WARRANTY AND WARRANTIES ARISING UNDER APPLICABLE LAW, WE MAKE NO OTHER EXPRESS WARRANTY ON THE ORGANIZER. TO THE FULLEST EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED AS IS AND AS AVAILABLE. NOTHING IN THIS SECTION DISCLAIMS AN IMPLIED WARRANTY ON THE ORGANIZER OR LIMITS RIGHTS THAT CANNOT LAWFULLY BE LIMITED.
12.3 Because we give you a written warranty, we do not and cannot disclaim implied warranties. Any implied warranty, including the implied warranty of merchantability, lasts for the duration of the Limited Warranty.
12.4 SOME STATES DO NOT ALLOW LIMITS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.
13. Limitation of Liability
13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE ORGANIZER, THE APPLICATION OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE ORGANIZER.
13.2 TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR LOSS OF GOODWILL, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.
13.3 These limits do not apply to death or personal injury caused by our negligence, to fraud or fraudulent misrepresentation, to our gross negligence or willful misconduct, or to any liability that cannot be limited under applicable law.
13.4 SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
14. Events Outside Our Control
14.1 We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including natural disaster, epidemic, war, civil unrest, labor action, carrier failure, supply chain disruption, utility or network outage, act of government, or delay in a regulatory approval.
14.2 Nothing in this Section limits your rights under Section 4.
15. Electronic Communications
15.1 We will send order confirmations, delay notices, subscription confirmations, trial reminders, cancellation confirmations and shipping notices to the email address on your order. You agree to receive these electronically and agree they satisfy any requirement that a communication be in writing.
15.2 Keep your email address current. We are not responsible for a notice you do not receive because your address is inaccurate or our message was filtered.
15.3 Marketing email is separate and we send it only if you opt in. Opting out of marketing does not stop messages about your order or your subscription.
16. Governing Law and Disputes
16.1 These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws rules, except that this does not deprive you of the protection of any mandatory consumer protection law of the state where you live.
16.2 Before starting any proceeding, email us at [email protected] describing the problem and what you would like us to do, and give us thirty (30) days to resolve it.
16.3 Any dispute not resolved that way will be brought in the state or federal courts located in Washtenaw County, Michigan, and both parties consent to jurisdiction there. Either party may bring a qualifying claim in small claims court.
17. General
17.1 Amendment. The version of these Terms in effect when you order governs your order. We may change these Terms for future orders. We will not change an order already placed in a way that reduces your rights.
17.2 Entire agreement. These Terms and the documents referenced in them are the entire agreement between us about your purchase, and replace any earlier statement or understanding about it.
17.3 Severability. If a provision is unenforceable, the rest remains in effect, and that provision is modified only as far as needed to make it enforceable.
17.4 No waiver. Our failure to enforce a provision is not a waiver of it.
17.5 Assignment. You may not assign these Terms without our consent. We may assign them in a merger, acquisition or sale of assets.
